Affiliate Program Terms

1. Program Structure

Subject to these terms, an approved affiliate may earn a recurring commission equal to 10% of Eligible Net Recurring Revenue actually collected by Gotekky from a Qualified Referral.

2. Qualified Referral

A Qualified Referral is a new customer that is properly tracked through Gotekky’s affiliate tracking tools, accepted by Gotekky, and not otherwise excluded under these terms. Gotekky’s records control for attribution except in the case of manifest error.

3. Eligible Net Recurring Revenue

Eligible Net Recurring Revenue means recurring service fees actually collected by Gotekky for the originally referred qualifying service, including renewals, upgrades, downgrades, plan changes, or direct replacements of that same referred service.

Eligible Net Recurring Revenue does not include taxes, one-time fees, setup fees, domains, software licenses, control panel licenses, account credit, promotional credit, refunds, chargebacks, disputed transactions, unpaid invoices, suspended or abusive accounts, or separate new services unless Gotekky approves them in writing.

4. Existing Clients, Separate Services, and Self-Referrals

Self-referrals are not eligible. New orders from existing Gotekky clients are not eligible by default. A referred client becoming an existing client does not make all future purchases commissionable. Only the originally referred qualifying service, and approved upgrades or direct replacements of that same service, remain eligible unless Gotekky expressly approves additional services in writing.

5. Upgrades and Downgrades

If the originally referred qualifying service is upgraded, downgraded, or otherwise changed, the recurring commission is recalculated based on the new Eligible Net Recurring Revenue actually collected for that service.

6. Payout Timing and Minimum Threshold

A commission becomes payable only after the underlying invoice has been fully paid and has remained in good standing for 90 days. Approved commissions are payable on Gotekky’s normal affiliate payout cycle and remain subject to the minimum payout threshold of CA$100, unless Gotekky publishes a replacement threshold in the affiliate portal or updates these terms.

7. Reversals, Withholding, and Forfeiture

Gotekky may reverse, withhold, offset, or forfeit commissions associated with refunds, chargebacks, fraud, abuse, misleading promotion, self-referrals, non-payment, account suspension, AUP violations, or any attempt to manipulate tracking or reorder activity in order to generate commission improperly.

8. Marketing Rules

Affiliates may promote Gotekky using approved or lawful marketing methods, but may not send spam, misleading advertisements, deceptive claims, or unauthorized communications. Affiliates may not impersonate Gotekky or make false claims about pricing, uptime, support, network design, or service capabilities. Affiliates must comply with applicable anti-spam, advertising, privacy, and trademark rules.

9. Taxes and Independent Contractor Status

Affiliates are independent contractors and not employees, agents, partners, franchisees, or representatives of Gotekky. Affiliates are solely responsible for their own taxes, filings, remittances, and business expenses. Where legally required, the affiliate must provide valid tax registration details and invoice applicable taxes, including GST, HST, or QST if required by law.

10. Program Changes and Discontinuation

Gotekky may modify the affiliate program prospectively for new referrals on notice. If Gotekky discontinues the affiliate program or ends an affiliate relationship without cause, Gotekky will provide at least 12 months’ prior written or email notice. During that notice period, commissions may continue to accrue in the ordinary course, subject to these terms. On and after the effective discontinuation date, no new commissions accrue, including on existing referrals.

11. Termination for Cause

Gotekky may suspend or terminate an affiliate immediately for fraud, spam, misleading promotion, trademark misuse, abusive conduct, non-compliance with law, or violation of these terms. If an affiliate is terminated for cause, unpaid commissions may be withheld or forfeited.

12. Accrued Commissions

Commissions earned, approved, and accrued before the effective date of a discontinuation or termination without cause remain payable on the normal payout schedule, subject to the 90-day aging period, the minimum payout threshold, and the absence of fraud, refunds, chargebacks, or other disqualifying events.

13. Relationship to Other Terms

Participation in the affiliate program is separate from any customer services agreement. Nothing in these terms gives the affiliate authority to bind Gotekky or to represent itself as Gotekky’s employee or agent.

14. Limitation of Liability

To the maximum extent permitted by law, Gotekky is not liable for indirect, incidental, consequential, special, or punitive damages arising from the affiliate program. Gotekky’s aggregate liability under these Affiliate Program Terms will not exceed the total commissions paid or payable to the affiliate under these terms.

15. Governing Law

These Affiliate Program Terms are governed by the laws of Quebec and the applicable federal laws of Canada.
